I would caution people not to put too much emphasis on the duty of good faith and fair dealing though. The law is not as clear on this issue as some would think. In Pennsylvania, for example, the analysis always starts within the 4 corners of the contract. This is particularly the case when the parties are business entities. If the contract is clear, you never get to the underling “good faith” issue. And proving the intent of a party is really hard to do. My only point is that one has to be careful with this theory.
