I would caution people not to put too much emphasis on the duty of good faith and fair dealing though. The law is not as clear on this issue as some would think. In Pennsylvania, for example, the analysis always starts within the 4 corners of the contract. This is particularly the case when the parties are business entities. If the contract is clear, you never get to the underling “good faith” issue. And proving the intent of a party is really hard to do. My only point is that one has to be careful with this theory. It’s not as black and white as it may seem at first glance. #KAPLAWBuilds

It’s a tough situation especially for small companies where 5, 10, 20k is a lot of money that we can’t afford to absorb. I’d like to find a way for the legal system to be more friendly to small business so it’s about facts and not just the cost of litigation. I’m workin’ up some ideas…..next blog post! Take care.

They were working on a second story, and the framers had not installed a handrail, and he fell into the staircase. It’s made us think a lot about jobsite safety, including to police all of our subs and staff.
